Terms of service

Plain-language terms describing how Sharp works and what each party agrees to.

1. Acceptance of terms

By using the Sharp website, requesting a quote, subscribing to a Sharp plan, or engaging Sharp for services, you agree to these terms. They form a binding agreement between you and PT Sharp for Human Resources Consultancy.

If you don't agree with any part of these terms, please don't use our website or services. We may update these terms occasionally; material changes will be posted on this page and, for active clients, may also be notified by email.

2. Our services

Sharp provides HR consulting, people-operations support, recruitment coordination, outsourcing administration support, management consulting and related advisory services under KBLI 78300 and 70209. Services may be delivered by Sharp personnel, approved consultants, contractors or specialist partners under Sharp's coordination. Any manpower outsourcing or employer-of-record arrangement must be documented in a separate written agreement and, where required, registered with the competent authority.

3. Accounts and access

You are responsible for the accuracy of information you provide, including company identity, billing details, tax information, contact persons, job or HR requirements, and any employee or candidate data shared with us.

Sharp may decline, suspend or terminate services where information is inaccurate, payment fails, requested work is unlawful or outside our licensed activities, or continued service would create compliance, sanctions, employment-law or payment-risk concerns.

4. Payments and fees

Fees, billing cycle, included hours, deliverables, taxes, payment method, renewal period and any minimum commitment are stated in the accepted quote, subscription summary, invoice or service order. Monthly subscriptions are billed in advance unless otherwise agreed. Unused hours do not roll over unless the written plan says so. Scope changes, extra hours, third-party costs and government charges are documented before they are billed.

5. Consultant relationships

Sharp may assign employees, independent consultants, contractors or partner specialists to support delivery. Unless a separate written outsourcing or employment agreement says otherwise, personnel assigned to a client remain under their original employment or contractor relationship and do not become employees of the client. Clients must not directly hire or bypass Sharp personnel introduced through the service without Sharp's written consent.

6. Liability

Sharp provides professional support and advisory services, but business decisions, hiring decisions, regulatory filings, employment actions and implementation choices remain the client's responsibility unless expressly agreed in writing. To the maximum extent allowed by law, Sharp's liability is limited to the fees paid for the affected service period.

Nothing in these terms limits liability for fraud, willful misconduct, payment obligations, confidentiality breaches, or other liability that cannot be excluded under applicable law.

7. Termination

Either party may end a service according to the accepted quote or subscription summary. For monthly plans, cancellation takes effect at the end of the paid billing period unless the plan states a minimum commitment or notice period. We retain limited records as required for tax, audit, employment, dispute, payment-gateway and regulatory obligations.
